Board Report of Companies will now have to reflect statement of its compliance with provisions relating to the constitution of the Internal Committee under the Anti-Sexual Harassment law

The Ministry of Corporate Affairs has recently notified the Companies (Accounts) Amendment Rules, 2018 effective 31st July, 2018.

Now, Companies except for One Person Companies or Small Companies will have to make the following additional disclosures in their Board Report.

  1. a disclosure, as to whether maintenance of cost records as specified by the Central Government under sub-section (1) of section 148 of the Companies Act, 2013, is required by the Company and accordingly such accounts and records are made and maintained,
  2. a statement that the company has complied with provisions relating to the constitution of Internal Complaints Committee under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013.

 With a view to provide relief for One Person Companies and Small Companies from a huge number of disclosures to be otherwise made in the Board Report, the MCA has announced an abridged list of matters to be included in the Board Report of such companies.
